Status of Corporate Governance

Appointment of the Chief Corporate Governance Officer

Sunrex appointed Mr. Ming-Hong Wu, Head of Finance and Accounting, as the Chief Corporate Governance Officer by resolution of the Board of Directors on June 21, 2023, with the effective date being June 21, 2023. The scope of authority of the Chief Corporate Governance Officer is as follows:

1. Handling matters related to meetings of the Board of Directors and shareholders’ meetings in accordance with applicable laws and regulations.
2. Preparing minutes of meetings of the Board of Directors and shareholders’ meetings.
3. Assisting directors in assuming office and arranging continuing education.
4. Providing directors with information required for the performance of their duties.
5. Assisting directors in complying with applicable laws and regulations.
6. Reporting to the Board of Directors on the review results regarding whether independent directors meet the qualification requirements prescribed by relevant laws and regulations at the time of nomination, election, and during their term of office.
7. Handling matters related to changes in directors.
8. Other matters as stipulated in the Articles of Incorporation or relevant contracts.

Continuing Education of the Chief Corporate Governance Officer
 

In addition to the requirement that a newly appointed Chief Corporate Governance Officer shall complete at least 18 hours of continuing education within one year from the date of assuming the position, the Chief Corporate Governance Officer shall complete at least 12 hours of continuing education each year thereafter. 
Mr. Ming-Hong Wu, the Company’s Chief Corporate Governance Officer, assumed office on June 21, 2023. Details of his continuing education are set forth in the table below.
